www.agbc.cloud is a website owned by AGB COMPANY LIMITED, a company based in Myanmar with its registered at 19th Floor, Office Tower 3, Times City, No. 37, Between Hantharwaddy and Kyun Taw Road, Kamayut Township, Yangon, Union of Myanmar, Company Registration Number 111327874.

Provider contents and Services are available to all individuals of legal age, who are legally capable of entering into contracts (binding agreements).

Please read through these Terms prior to using this website. By using this website, or purchasing Services through it, you are consenting to be bound by these Terms. If you are unable to accept these Terms, we respectfully ask that you do not access or use this website.

Provider reserves the right to amend these Terms from time to time. The version of the Terms in force at the time of Your use of the Website or at the time a contract is formed shall apply. The latest version of the Terms will always be available on the Website. Provider is not obliged to notify Users of any amendments, and Users are encouraged to review these Terms regularly. Any amendments shall take effect upon publication on the Website.

1. Definitions

For the purposes of these Terms:

a) “Client” means the individual or entity accessing or using the https://agbc.cloud, including its content and Services. The term “Client's” shall be construed accordingly.

b) “Provider” means AGB Company Limited. The terms “Provider's” shall be construed accordingly.

2. Registration

To access or use the Services, Client must create and maintain a valid user account with Provider (“Account”). Registration requires the submission of a valid email address, password, and certain personal or organizational information (collectively, “User Information”).

By registering an Account, Client acknowledges and agrees that:

Client is solely responsible for maintaining the confidentiality and security of Client's account credentials, including Client's password.
All activities conducted through Client's Account, whether authorized by Client or not, shall be deemed to have been performed by Client and remain Client's responsibility.
Client shall not share, transfer, or disclose Client's account credentials to any third party.
If Client becomes aware of any unauthorized access, suspected security breach, or misuse of Client's Account, Client must immediately notify Provider in writing using the email address associated with Client's registration.
Client is responsible for ensuring that all User Information remains accurate, complete, and up to date at all times.
Provider reserves the right to suspend or restrict access to any Account if the provided User Information is found to be inaccurate, incomplete, or misleading.

2.1 Data Processing

Provider shall process personal data in accordance with applicable data protection laws, ensuring lawful basis, purpose limitation, data minimization, and appropriate retention controls. Customer Data shall not be transferred outside the Republic of the Union of Myanmar without appropriate safeguards or Customer consent, unless required by law.

a) Access and Use of Customer Data

Provider shall not access, use, disclose, or otherwise process Customer Data except:

where required by applicable laws, regulations, court orders, or lawful governmental authority; or
where reasonably necessary to provide technical support or service maintenance at the Customer’s request.

b) Customer Data Responsibility

The Customer remains solely responsible for the security, integrity, availability, and backup of all Customer Data stored or processed through the Services.

c) Security Measures

Provider maintains appropriate technical and organizational security measures, including administrative, physical, and logical safeguards, designed to protect Customer Data against unauthorized access, loss, alteration, or disclosure.

2.2 Service Limitations

To maintain system stability, security, and operational integrity, certain actions and operations are restricted within the Services.

Virtual Machine (VM) Services

a) Customers are not permitted to perform or attempt any of the following actions:

Direct access to or interaction with physical host servers or hypervisor infrastructure;
Modification of host-level CPU architecture or underlying hardware configuration;
Initiation of live migration of virtual machines, which may only be performed by Provider as part of operational management;
Any hardware-level modification or interference with the underlying infrastructure supporting the Services.

b) Data Deletion upon Termination

When a Virtual Machine is destroyed, deleted, or terminated, all associated data stored on the virtual disks may be permanently deleted and irrecoverable. Customers are responsible for maintaining independent backups prior to any deletion or termination.

Storage Services

a) Storage Services are designed to support the operation of Virtual Machines (VMs) and the storage of Customer Data.

b) The maximum storage volume size available to a Customer may vary depending on the configuration and capacity of the underlying storage pool.

c) The following operations are not supported or not permitted within the Storage Services:

Downloading or exporting storage volumes directly from the platform;
Manual migration of storage volumes between storage pools;
Creation of volumes from encrypted snapshots where not supported by the platform configuration;
Reduction or shrinking of existing storage volume sizes.

d) Snapshots

The number and frequency of storage snapshots may be limited by available system capacity. Creation and storage of snapshots may incur additional service charges.

e) Data Recovery Limitations

Deleted volumes or snapshots cannot be restored or recovered once permanently removed from the system. Customers remain solely responsible for maintaining adequate backup and disaster recovery procedures for their data.

3. Trial Services

Provider may, at its sole discretion, offer certain Services on a trial, evaluation, or promotional basis for a limited period (the “Trial Period”). Only those Services that are explicitly identified by Provider as trial or free services (“Trial Services”) shall be provided without charge.

Trial Services are provided “as-is” and “as available”, and Provider does not guarantee any specific performance, availability, or service levels during the Trial Period.

Provider shall have no obligation to provide technical support, maintenance, or operational assistance for Trial Services unless such support is expressly agreed to in writing.

Expiration of Trial Period

If the Client do not convert Client's Trial Services to a paid subscription or active service plan prior to the expiration of the Trial Period:

Provider may suspend or restrict access to the Services and associated resources immediately upon expiry of the Trial Period; and
Customer Data associated with the Trial Services may be retained for a limited period of seven (7) days following the expiration date (the “Suspension Period”).

During the Suspension Period, Client may convert to a paid subscription in order to restore access to the Services and associated data, subject to successful payment processing.

If no paid subscription is activated within the Suspension Period:

Provider may permanently delete all Customer Data, configurations, virtual machines, storage volumes, and associated resources without further notice; and
Such deletion shall be irreversible and performed without liability to Provider, except where otherwise required by applicable law.

Trial Service Limitations

Trial Services may be subject to additional limitations, including but not limited to:

restricted computing resources or storage capacity;
limited feature availability;
limited operational uptime or service performance; and
restricted technical support.

Provider reserves the right to modify, suspend, or terminate Trial Services at any time without prior notice.

4. Taxes & Withholding

All fees and charges under this Agreement are inclusive of Commercial Tax at the prevailing statutory rate under the laws of the Republic of the Union of Myanmar (currently five percent (5%), unless amended by law).

All other taxes, including but not limited to withholding tax, customs duties, and any other taxes, duties, levies, or governmental charges imposed by applicable law (collectively, “Taxes”), are exclusive of the fees stated under this Agreement.

Where Provider is required by applicable law to collect, charge, or remit any Taxes, such Taxes shall be separately stated and added to the relevant invoice, except for Commercial Tax which is already included in the applicable service fees unless otherwise specified.

Client shall be solely responsible for:

all Taxes arising from or in connection with the purchase or use of the Services;
any withholding tax obligations imposed by applicable law; and
any governmental charges, duties, fees, or levies related to payments made to Provider.

If applicable law requires You to withhold any tax from payments made to Provider, Client shall ensure that such withheld amount is properly remitted to the relevant tax authority, and Client shall provide Provider with official documentation evidencing such remittance.

5. Service Cancellation and Suspension

Under the prepaid service model, the following provisions shall apply.

5.1 Account Credit Depletion

When the user’s account credit balance is insufficient or prepaid points reach zero, the following actions shall occur:

5.1.1 Service Suspension and VM Auto-Shutdown

All running Virtual Machines (VMs) and associated compute resources may be automatically stopped or shut down by the system; and
The VM auto-shutdown process follows the scenarios below:
- The system performs an hourly validation. So that the user’s balance reaches zero or payment is insufficient for the next hourly billing cycle, all VMs will be automatically shut down.
User will be restricted from performing further actions within the Cloud User Portal until a sufficient credit balance is restored.

5.1.2 Data Retention Period (14 Days)

Customer Data and associated resources shall be retained for a period of fourteen (14) days from the date of suspension (the “Retention Period”).

During this Retention Period:

Resource Status
- Public IP addresses and storage shall remain active.
- Usage charges for these resources will continue to be deducted on an hourly basis.
Billing and Usage Visibility
- Users may monitor resource consumption via Cloud User Portal: Billing system under the Usage Tag.
- During suspension, Usage Tag shall display: “PAID with 0 Credit”
- Upon successful top-up, the Usage Tag will be updated to reflect: “PAID with Actual Top-up Credit”
- Any top-up credit will be deducted based on accumulated usage charges obtained during the Retention Period.
Service Restoration
- If the User recharges the account balance within the Retention Period, services will be restored and resumed, subject to system availability.
- User acknowledges that auto-shutdown or forced service interruption may lead to temporary instability or data inconsistency. Provider shall not be held responsible for such conditions.

5.1.3 Permanent Resource Deletion

If the User fails to top up the credit balance within the fourteen (14) day Retention Period:
- All Customer Data, Virtual Machines, Storage Volumes, Public IPs, and configurations will be permanently deleted.
- Deleted resources are non-recoverable, and no further notice is required prior to deletion.

5.1.4 Account Deactivation (365 Days of Inactivity)

If User:
- Does not top up the credit balance, and
- Has no login or account activity via the Cloud Portal for a continuous period exceeding three hundred sixty-five (365) days,

Provider reserves the right to permanently deactivate or delete the User account and all associated data and resources.

5.2 Suspension for Other Causes

Provider may suspend, restrict, or terminate access to the Services where reasonably necessary, including but not limited to the following circumstances:

Non-payment or insufficient account balance;
Violation of the Acceptable Use Policy or other Terms of this Agreement;
Compliance with applicable laws, court orders, or regulatory requirements; or
Where necessary to protect the security, integrity, or stability of Provider’s infrastructure or Services.

Provider may take such actions with or without prior notice, where reasonably necessary to maintain service security or comply with legal obligations.

6. Use of the Services

6.1 User Content and Application Responsibility

Client shall bear full legal and contractual responsibility for all applications, systems, software, and content that are deployed, uploaded, transmitted, processed, or stored through Your use of the Services (collectively, “User Content”).

User Content includes, without limitation, all information, data, text, software, source code, databases, audio files, images, graphics, video content, messages, and other digital materials.

Provider does not monitor, review, control, or assume responsibility for User Content and shall not be liable for the legality, accuracy, integrity, reliability, or quality of such content.

For the sole purpose of enabling Provider to operate and provide the Services, Client hereby grants Provider a worldwide, non-exclusive, royalty-free, limited license to host, store, process, transmit, back up, and otherwise use the User Content strictly as necessary for:

service delivery,
system administration and maintenance,
infrastructure management, and
security monitoring and protection.

Client represents and warrants that:

Client possesses all necessary rights, licenses, consents, and legal authority to upload, store, transmit, or otherwise use the User Content through the Services;
The User Content does not infringe or violate any intellectual property rights, confidentiality obligations, privacy rights, contractual obligations, or other proprietary rights of any third party; and
The User Content complies with all applicable laws and regulations of the Republic of the Union of Myanmar.

Client acknowledges that Client are solely responsible for maintaining independent backups of Client's data. Except to the extent required by applicable law, Provider shall not be liable for any loss, corruption, or unrecoverable data arising from Client's use of the Services.

6.2 Acceptable Use Policy

Acceptable use of Provider’s Website, infrastructure, cloud environment, and services (collectively, the “Services”) means any use that complies with applicable laws, regulations, and these Terms, and that does not violate the restrictions described in this section.

Any violation of this Acceptable Use Policy shall constitute a material breach of these Terms and may result, at Provider’s sole discretion, in suspension, restriction, termination of Services, removal of content, and/or legal action.

By using the Services, Client agrees that client shall not engage in any of the following activities:

a) Unlawful or Harmful Content

Upload, publish, transmit, distribute, or otherwise make available any content that is unlawful, defamatory, fraudulent, threatening, abusive, harassing, obscene, harmful, pornographic, or otherwise prohibited under the laws of the Republic of the Union of Myanmar.

This includes any content that infringes or violates intellectual property rights, trade secrets, confidentiality obligations, privacy rights, or other legal rights of Provider or any third party.

b) Unauthorized Content Ownership

Upload, store, distribute, or make available any content that the Client does not legally own, control, or have the lawful rights, permissions, or licenses to use or distribute through the Services.

c) Disruption of Services or Infrastructure

Engage in any activity that interferes with, disrupts, degrades, or compromises the availability, performance, integrity, or security of Provider’s infrastructure, networks, systems, or Services, including but not limited to:

generating excessive traffic or resource consumption;
launching or participating in Denial-of-Service (DoS) or Distributed Denial-of-Service (DDoS) attacks;
exploiting software or infrastructure vulnerabilities; or
engaging in any activity that causes operational disruption or degradation of the Services.

d) Misrepresentation or Impersonation

Impersonate any individual or entity, or falsely state, misrepresent, or otherwise mislead others regarding Your identity, authority, or affiliation with any person, organization, or legal entity.

e) Unsolicited Communications

Transmit, distribute, or facilitate the transmission of unsolicited bulk communications, spam, phishing messages, or unauthorized marketing or advertising communications in violation of applicable electronic communications laws or industry standards.

f) Unauthorized Automation or System Access

Use automated tools, bots, scripts, crawlers, scraping tools, or other unauthorized software to:

create user accounts,
access systems,
extract data, or
modify Services,

without prior written authorization from Provider.

g) Circumvention of Controls

Circumvent, bypass, manipulate, exploit, or attempt to override any technical, billing, subscription, licensing, or security limitations implemented by Provider, including attempts to gain unauthorized access to accounts, systems, networks, or resources.

6.3 Enforcement

In the event that Provider determines that a User has violated this Acceptable Use Policy, Provider reserves the right to take appropriate action, including but not limited to:

Suspending or terminating the affected account or Services;
Removing, disabling access to, or restricting distribution of unlawful, infringing, or harmful content;
Reporting suspected illegal activities to relevant law enforcement agencies or competent authorities; and
Pursuing any legal remedies available under applicable laws of the Republic of the Union of Myanmar.

Any enforcement action taken under this section shall be without prejudice to any other contractual, statutory, or legal rights and remedies available to Provider.

7. User Applications

Client may use the Services to design, develop, host, or operate websites, mobile applications, or software platforms for third parties (collectively, “User Applications”) and to provide services to your customers, clients, or end users (collectively, “Users”).

Provider Business Plans are intended for freelancers, web agencies, system integrators, software developers, corporations, and similar service providers that create or operate multiple User Applications for themselves or their Users.

Where the Services are used to develop or operate User Applications, the following additional terms shall apply.

7.1. Relationship with Clients or Users

Client's relationship with Client's Clients or Users is strictly between Client and Client's Client/User.
Provider shall not be a party to any agreement, contract, or commercial relationship between Client and Client's Client/User.
Client shall retain full discretion over service delivery, pricing, billing arrangements, and contractual terms with Client's Clients or Users.
Client agrees to provide services to Clinet's Clients or Users professionally, in accordance with applicable laws, industry standards, and these Terms.
User Applications and services delivered through them must not damage, misuse, or adversely affect the reputation, operations, or security of Provider or its Services.

7.2. Responsibility for User Applications

Client are solely responsible for all User Applications deployed, hosted, or operated under client's account. This responsibility includes, but is not limited to:

compliance of all User Applications with these Terms and the Acceptable Use Policy;
ensuring that Client's Clients or Users do not engage in prohibited or unlawful activities through the Services;
management, maintenance, and security of the applications, software, and data associated with such User Applications.

Provider shall not be responsible for any claims, losses, damages, liabilities, or disputes arising from the operation or use of User Applications.

7.3. White-Label or Resale Use

Subject to the applicable subscription plan and any additional written agreement with Provider, Client may be permitted to resell or redistribute the Services to Client's Clients or Users under a white-label arrangement.
The availability of white-label functionality may vary depending on the applicable service plan.
Provider does not guarantee the availability, continuity, or specific functionality of white-label features unless expressly stated in writing.
Client remains fully responsible for all activities conducted under Client's account, including those performed by Client's Clients or Users under a white-label deployment.

7.4. Compliance Obligations

Client shall ensure that all User Applications:

comply with applicable laws and regulations, including those of the Republic of the Union of Myanmar;
comply with the Acceptable Use Policy and other provisions of these Terms; and
do not compromise the security, integrity, availability, or performance of the Services.

Provider reserves the right to suspend or disable any User Application that violates these Terms or applicable law.

7.5. Billing and Payment

Client shall remain solely responsible to Provider for payment of all fees, charges, and usage costs associated with the Services consumed by Client's account, including those incurred through User Applications created for Client's Clients or Users.

If payment obligations are not fulfilled when due, Provider may, at its sole discretion:

suspend or restrict access to the Services;
disable all or part of the affected User Applications; or
terminate the relevant account or services.

Client acknowledges and agree that Provider shall not be liable for any loss, damages, or claims arising from the suspension or disabling of User Applications due to non-payment or account delinquency.

Client shall be solely responsible for any consequences or liabilities toward Client's Clients or Users resulting from such suspension or service interruption.

8. Intellectual Property

8.1 Ownership of Provider Intellectual Property

All copyrights, trademarks, service marks, trade names, software, documentation, designs, logos, branding materials, and other intellectual property rights associated with the Services or provided by Provider as part of the Services (collectively, “Provider Intellectual Property”) shall remain the exclusive property of Provider or its licensors.

Nothing in this Agreement shall be construed as transferring ownership of any intellectual property rights from Provider to Client.

Subject to compliance with these Terms, Provider grants Client a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for the purposes permitted under this Agreement.

Client shall not, without prior written consent from Provider:

copy, reproduce, modify, distribute, or create derivative works from Provider Intellectual Property;
commercially exploit or profit from Provider Intellectual Property outside the permitted use of the Services;
reverse engineer, decompile, or otherwise attempt to derive source code from any Provider software; or
assist or permit any third party to engage in such activities.

If Client become aware of any unauthorized use, infringement, or misuse of Provider Intellectual Property, You agree to promptly notify Provider.

8.2 Customer Content Ownership

Except for the limited rights granted under this Agreement, Provider does not claim ownership of any content, data, applications, or materials uploaded, stored, transmitted, or processed through the Services by Client (collectively, “Customer Content”).

Client retains all rights, title, and interest in and to Client's Customer Content.

By using the Services, Client grants Provider a worldwide, non-exclusive, royalty-free, limited license to host, store, process, transmit, back up, and otherwise use Customer Content solely for the purpose of:

providing and maintaining the Services,
performing system operations and maintenance,
protecting system security, and
complying with applicable legal or regulatory obligations.

This license shall remain in effect only for the duration of Client's use of the Services and shall terminate when Client's account is closed or Customer Content is deleted, except where retention is required by law or necessary for backup and system integrity purposes.

9. Privacy

9.1 Privacy Statement

Provider respects the privacy of its users and processes personal information in accordance with its Privacy Statement.

Client is encouraged to review the Privacy Statement carefully to understand how personal data is collected, used, stored, and protected when using the Services.

Certain information, statements, data, or content that You choose to post, upload, or transmit through User Applications or the Services may reveal personal information, including but not limited to name, gender, nationality, ethnicity, age, contact details, or other personal characteristics.

Client acknowledges that the submission or publication of such information is voluntary and at Client's own discretion.

9.2 Legal Disclosure of Information

Client acknowledges and agrees that Provider may access, retain, and disclose Client's information, including Customer Content or account information, where required to:

comply with applicable laws, regulations, court orders, or governmental requests;
enforce these Terms and investigate potential violations;
detect, prevent, or address fraud, security, or technical issues; or
protect the rights, property, safety, or legal interests of Provider, its users, or the public.

Where permitted by law, Provider will take reasonable steps to limit disclosure to the extent necessary for the relevant legal purpose.

Further details regarding how Provider processes and discloses personal information are provided in the Provider Privacy Statement, which forms part of these Terms.

10. Violation of Terms

Failure to comply with these Terms, or engagement in activities prohibited by these Terms, may result in disciplinary action, suspension of Services, or legal proceedings where applicable.

Provider reserves the right, at its sole discretion, to take appropriate action in response to violations of these Terms, including but not limited to:

issuing warnings or notices of non-compliance;
restricting or suspending access to the Services;
disabling or removing content or applications associated with the violation; or
initiating legal action where required.

Users are encouraged to report suspected violations of these Terms or applicable laws to Provider through appropriate reporting channels.

11. Suspension or Termination and Refund Policy of Services

11.1 Suspension or Termination of Service

If Client breaches these Terms, or if Provider reasonably believes that Client is likely to breach these Terms, Provider reserves the right to suspend, restrict, or terminate access to the Services immediately and without prior notice.

Provider may also suspend or terminate Services where necessary to:

protect the security, integrity, or availability of the Services;
comply with applicable laws, regulatory requirements, or court orders; or
prevent activities that may damage Provider’s infrastructure, reputation, or operations.

Provider may also terminate or suspend Services where a Client’s conduct is reasonably deemed unacceptable, harmful, or inconsistent with the intended use of the Services.

Unless otherwise required by applicable law or expressly stated in these Terms, no compensation, refund, or reimbursement shall be payable to the User for any suspension or termination of Services resulting from a violation of these Terms.

11.2 Refund Policy of Services

All payments made for our cloud services are non-refundable.

In the event of a service interruption, the Client may be eligible to receive account credits for qualifying issues determined solely by the Provider. Such credits:

Have no cash value
Are non-transferable
Can only be applied toward future use of our services
Will expire in accordance with the Company’s credit policy
No refunds or reimbursements will be provided for credits that have already been consumed by the system in the provision of services, including but not limited to automated charges for storage, IP addresses, or virtual machine (VM) uptime.

By using our services, you acknowledge and agree that no monetary refunds will be issued under any circumstances, except where required by applicable law.

12. Limitation of Liability

12.1 General Limitation

To the maximum extent permitted by applicable law, Provider shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with the use of, or inability to use, the Services.

This includes, but is not limited to:

loss of profits, revenue, or business opportunities;
loss of goodwill or reputation;
loss, corruption, or destruction of data or content;
costs incurred to procure substitute services or products; and
any other intangible or consequential losses.

These limitations apply regardless of whether the damages arise from contract, tort (including negligence), strict liability, or otherwise, even if Provider has been advised of the possibility of such damages.

12.2 Service Availability and Operational Risks

Provider shall not be liable for losses or damages arising from, including but not limited to:

a) modifications, suspension, interruption, or permanent discontinuation of Services or specific features;

b) loss, corruption, or failure to store content, data, or communications transmitted through the Services;

c) inaccurate, incomplete, or outdated account information provided by the User;

d) failure by the User to maintain the security and confidentiality of account credentials;

e) temporary or prolonged service outages or infrastructure disruptions;

f) hosting or platform-related issues affecting websites, applications, newsletters, projects, or other services deployed by the User; or

g) delays or failures in notifying Users of technical or operational incidents affecting the Services.

These limitations shall apply even if Provider knew or should reasonably have known of the possibility of such damages.

Nothing in this Agreement shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

12.3 Content on User Applications

Provider shall not be responsible for content created, uploaded, published, or shared by Users through User Applications, including content appearing on websites, forums, blogs, or other digital platforms hosted using the Services.

Specifically:

a) User-generated content may be monitored, moderated, edited, refused, or removed at Provider’s discretion. The presence or absence of such content shall not be interpreted as endorsement by Provider.

b) While Provider provides Services using commercially reasonable care and skill, Provider does not guarantee the accuracy, reliability, completeness, or fitness for a particular purpose of User Applications or associated content.

c) Nothing in these Terms shall exclude liability for fraudulent misrepresentation or for death or personal injury caused by negligence, to the extent required by applicable law.

Except for the limited circumstances described above, Provider shall not be liable for any losses or damages incurred by Users or third parties arising from the operation or use of User Applications.

12.4 Liability Cap

Notwithstanding anything to the contrary, Provider’s total aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by the Customer to Provider for the Services during the three (3) months immediately preceding the event giving rise to the claim.

13. Force Majeure

Neither Party shall be liable for any delay, failure to perform, or interruption of Services resulting from events beyond its reasonable control (“Force Majeure Event”), provided that the affected Party uses commercially reasonable efforts to mitigate the impact.

Force Majeure Events include, but are not limited to:

natural disasters such as floods, fires, storms, earthquakes, or other acts of nature;
acts of government, regulatory orders, or changes in law;
war, armed conflict, terrorism, civil unrest, riots, or public disorder;
strikes, labor disputes, or industrial actions;
large-scale power outages or infrastructure failures;
failures of internet backbone networks or telecommunications infrastructure; and
significant cybersecurity incidents or widespread cyber-attacks beyond the reasonable control of the affected Party.

The affected Party shall promptly notify the other Party of the Force Majeure Event and shall use commercially reasonable efforts to minimize its impact and resume normal operations as soon as practicable.

Any contractual obligations affected by a Force Majeure Event shall be temporarily suspended for the duration of the event and shall resume once the event has ceased.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar.

Unless otherwise required by applicable law, the courts of Myanmar shall have exclusive jurisdiction to resolve any disputes arising out of or in connection with these Terms or the use of the Services.

15. Indemnification

Client agrees to indemnify, defend, and hold harmless Provider, its directors, employees, and affiliates from and against any claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising out of:

(a) Client’s use of the Services;

(b) Client’s User Content or User Applications;

(d) Client’s violation of any applicable law or third-party rights.
